Terms and Conditions
derived from ICF Code of Ethics
The Agreement for provision of professional coaching, mentoring or training services is usually directly established between the “Coach” and the “Client” for the delivery of the “Service”.
The Agreement for provision of professional coaching, mentoring or training services can be established also between the “Coach”, the “Sponsor” and the “Client” for the delivery of the “Service”.
Whereas the parties are the Coach, the Client, the Sponsor (if distinct from Client).
Whereas, the “Coach” is Alina Mirela Florea P.IVA 10876270967/01.06.2019. The Coach will conduct the Service through adequately competent specialists, with proven results, adequate professional certifications, affiliations and memberships (ICF, PMP, etc).
All professional coaches used by the Coach are accredited by ICF or by other internationally recognised professional bodies, at least at core competence level.
All professional trainers or mentors used by the Coach are internationally reputed specialists, with proven first-hand business, management and people development expertise.
Whereas, the Coach hires for the delivery of the Service only professional coaches accredited by international recognised coaching federations, such as ICF. All such coaches are at least ACC by ICF.
Whereas, the Client is the direct beneficiary of the Service. The Client can be the direct signatory of this Agreement, case in which he/she plays also the role of the Sponsor.
Whereas, the Sponsor is the direct signatory of this Agreement, facilitating the delivery of the Service to the Client, and funding the Client’s access to the Service. The Client is the direct beneficiary of the Service, however the Sponsor has a direct interest of the Client receiving the respective Service.
Wherefore, the parties - Coach, its representatives, Client, and Sponsor, acknowledge and agree that the Coach and their direct representatives (coaches, mentors or trainers), in performing the professional coaching services under these terms and for the benefit of the Client, are bound to comply with the ICF Code of Ethics at all times during the execution of this Agreement, and while the Service is being delivered.
The parties each agree to be bound by the following terms and conditions of the relationship:
- At all times during the performance of Service under this Agreement the Coach and their representatives agree to adhere to and abide by the ethical standards of behaviour and conduct established by the International Coaching Federation (“ICF”). It is strongly recommended that the Client and Sponsor read and become familiar with the ICF Code of Ethics and the applicable standards of conduct and behaviour that applies to the Coach and the coaching process.
- At all times during the rendering of Service by the Coach and its representatives and received directly by the Client, and indirectly by the Sponsor (if case), the Client has the freedom to and shall be solely responsible for creating and implementing his or her own physical, mental and emotional well-being, decisions, choices, actions and results arising out of or resulting from the Service delivered by the Coach ans any of its representatives.
- The Sponsor (if the case) and the Client retaining the Service, acknowledge and agree that the Coach and its representatives (coaches, mentors, trainers) shall not be liable or responsible for any action or inaction of the Client, or for any direct or indirect result of the professional coaching services provided by the Coach.
- The Client acknowledges that delivering the Service is a comprehensive process that may involve different areas of the Client’s life, including his or her work, finances, health, relationships, education and recreation. The Client (and the Sponsor if case) agrees that (a) all decisions as to how to handle or address these areas, (b) the incorporation of the principles retrieved in the Service, and (c) the implementation of Client’s final choices rest solely and exclusively with the Client and not with the Coach or its representatives.
- The Client acknowledges that mentoring and coaching does not involve the diagnosis or treatment of mental disorders as defined by the American Psychiatric Association and the Service cannot be used as a substitute for counselling, psychotherapy, psychoanalysis, mental health care, substance abuse treatment or other professional advice by legal, medical or other qualified professionals, and that it is the Client’s exclusive responsibility to seek such independent professional guidance and advice, if and as needed, and that it is ethically to inform the Sponsor if in any way Client’s condition impedes Sponsor objectives in respect of this Service.
- If the Client is currently under the care of a mental health professional, it is strongly recommended that he/she promptly inform the mental health care provider of the nature and extent of the coaching relationship agreed with the Sponsor and by the Client and the Coach, and will further act based on the recommendation received.
- The Client understands and agrees that in order to enhance and maximize the Service, he/she must communicate honestly, be open to feedback and assistance and create the time and energy to participate fully in the relationship.
- The Client hereby acknowledges their understanding that coaching, mentoring or training are not therapy, nor they are a substitute for therapy. Coaching, mentoring or training does not prevent, cure nor should they be deemed treatment for any mental disorder or medical disease.
- The Client acknowledges that he or she may and will terminate or discontinue the coaching relationship established under this Agreement at any moment if their mental condition prevents continuation.
- The parties to this Agreement acknowledge its complete understanding and agreement that the Coach and its representatives, while retained and being compensated for the Service, by the Client or the Sponsor for the Client, for the purpose of providing the Service, have continuing and overriding professional duties and obligations as set forth herein by ICF Code of Ethics.
For the Coach and its representatives (i.e. coaches, mentors, trainers)
- To conduct him or herself in a manner consistent with the ICF Code of Ethics in all client-coach interactions;
- To honestly and accurately identify, disclose and present the coaching or other professional qualifications, expertise, experience, training, certifications and credentialing;
- To strive at all times to recognize personal issues that may impair, conflict with or interfere with delivery of the Service covering professional coaching or mentoring relationship ;
- To recognize that the ICF Code of Ethics applies to the coach’s / mentor’s / trainer’s relationship with coaching clients, students, mentees and supervisees;
- To maintain, store and dispose of any records, including electronic files and communications, created during the delivery of the Service in a manner that promotes confidentiality, security and privacy and complies with all applicable laws, agreements and regulations;
- To seek to be conscious of real or perceived conflicts of interest and to openly and fully disclose any such real or perceived conflict, including offering to remove herself when a conflict arises;
- To clarify roles for internal coaches, set boundaries and review stakeholder conflicts of interest that may emerge between coaching and other role functions;
- To disclose to clients and sponsors (i.e. organization) all anticipated compensation that the coach receives from third parties;
- To carefully explain and strive to ensure that, prior to or at the initial meeting, the Client and Sponsor understand the nature of coaching, the nature and limits of confidentiality, financial arrangements, and any other terms of the coaching agreement and relationship;
- To respect the Client’s right to terminate the coaching relationship at any point during the process, subject to the provisions of any coaching agreement in place;
- To maintain the strictest levels of confidentiality with all client and sponsor information, unless release is required by law;
- To have a clear understanding and agreement as to how information gained during Service may or may not be exchanged among the Coach and its representatives, Client, Sponsor or other parties (if case);
- To clearly disclose to the Client and Sponsor the conditions under which confidentiality may not be maintained (e.g. illegal activity, pursuant to a valid court order or subpoena, imminent or likely risk of danger to self or others, etc.) and to ensure that all parties understand and agree in writing to that limit of confidentiality.
For the Client and Sponsor
- The Client acknowledges and agrees to honour and not interfere with or restrict the Coach’s recognized duties and obligations under the ICF Code of Ethics, including the Coach’s obligation to maintain the confidentiality of content revealed and discussed by Client with the Coach during coaching meetings.
